At a glance
- European Commission approved Tenaris’s acquisition of Artrom on 13 October 2026.
- Transaction valued at approximately €86 million.
- Commission found no competition concerns in the steel pipe market.
The European Commission has granted clearance for Tenaris S.A. to take sole control of Artrom Steel Tubes S.A., marking a key regulatory step for the transaction in the European steel sector.
The approval follows Tenaris’s announcement in May 2026 of its plan to purchase all shares of Artrom Steel Tubes S.A. from GLGH Steel for a total consideration of about €86 million, on a cash-free and debt-free basis. The deal is subject to standard regulatory requirements, including further approvals from Romanian authorities, and was expected to close in the last quarter of 2026.
Artrom Steel Tubes S.A. operates a steelmaking facility in Reșița with an annual production capacity of roughly 450,000 metric tonnes. The company also manages a seamless-pipe rolling plant in Slatina, which can produce up to 200,000 metric tonnes per year.
According to the European Commission, the review of the proposed acquisition concluded that the transaction would not create competition issues in the steel pipe market. The Commission stated that other established suppliers would remain in the market and continue to serve customers after the deal’s completion.
What the numbers show
- Tenaris agreed to acquire 100% of Artrom Steel Tubes S.A. for about €86 million.
- Artrom’s Reșița plant has a capacity of approximately 450,000 metric tonnes per year.
- The Slatina facility can produce up to 200,000 metric tonnes of seamless pipe annually.
The transaction was initially announced by Tenaris on 8 May 2026, with the company stating that the acquisition was structured to be completed without assuming existing debt or cash balances. The process required clearance from both European Union competition authorities and Romanian government agencies.
Artrom’s facilities in Romania are positioned to contribute to Tenaris’s operations in the region, with both steel production and pipe manufacturing capabilities. The company’s assets include major plants in Reșița and Slatina, supporting its role in the steel pipe industry.
The Commission’s assessment focused on the presence of credible competitors in the steel pipe sector, which was a key factor in granting approval for the transaction. The regulatory review determined that sufficient market alternatives would remain available to customers following the acquisition.
With the European Commission’s approval, the transaction advanced toward completion, pending fulfillment of remaining regulatory conditions. The closing was anticipated to occur in the fourth quarter of 2026, subject to all required approvals.
