CrowdStrike has finalized a transaction to acquire the intellectual property of XM Cyber, including source code and patents, in a deal valued at hundreds of millions of dollars. The development has resulted in substantial workforce reductions at XM Cyber’s Israeli operations.

The acquisition, completed without the transfer of XM Cyber’s customer base or revenue, focused on securing more than 45 patents and related technology. According to company disclosures, the deal did not include ongoing business operations or client relationships.

As part of the transaction, CrowdStrike stated in a U.S. Securities and Exchange Commission filing that the total value reached approximately $600 million. The payment structure included an initial cash component and the issuance of shares to finalize the purchase.

Following the asset acquisition, XM Cyber’s workforce in Israel was reduced from around 300 employees to about 50, resulting in approximately 250 layoffs. This change affected a large portion of the company’s staff in the region.

What the numbers show

  • The transaction included $145 million in initial consideration.
  • About 2.1 million shares valued at roughly $441 million were issued.
  • XM Cyber had around 400 global employees, with 75% based in Israel.

XM Cyber previously employed roughly 400 people worldwide, with the majority of its staff located in Israel. The layoffs primarily impacted the Israeli branch, where most employees were based prior to the acquisition.

CrowdStrike’s acquisition targeted XM Cyber’s technological assets, including proprietary source code and a portfolio of more than 45 patents. The deal did not involve the transfer of customer contracts or revenue streams from XM Cyber to CrowdStrike.

The transaction was disclosed in regulatory filings and confirmed by multiple media sources. The structure of the deal combined both cash and equity components, as outlined in the SEC documentation.

With the completion of the acquisition, XM Cyber’s remaining workforce in Israel now numbers about 50, while the company’s global headcount has also been reduced. The transaction marks a shift in XM Cyber’s operational focus following the transfer of its core intellectual property assets to CrowdStrike.
