CRH Completes $8.5 Billion Arcosa Acquisition

CRH completed its purchase of Arcosa on October 23, 2026, according to the company, bringing the aggregates and infrastructure-products businesses under its ownership. Arcosa’s Form 8-K also identifies October 23 as the merger’s closing date.

The businesses covered by the acquisition include Arcosa’s Construction Products division. According to CRH’s June 2026 announcement, that division had 19 terminals, nine asphalt plants and a combined 109 quarries and yards. Its aggregate shipments totalled about 35 million tons during 2025.

Arcosa also operates an Engineered Structures business. In the June announcement, CRH placed it among the three largest manufacturers supplying critical infrastructure products to the U.S. energy-transmission market.

The agreement, announced on June 22, 2026, provided for CRH to purchase all of Arcosa for cash at $150 a share. CRH put the transaction’s total enterprise value at approximately $8.5 billion.

A separate measure appears in Arcosa’s October 23 Form 8-K: approximately $7.5 billion in total cash consideration covering common shares and equity awards settled in cash. That amount is distinct from the enterprise-value figure CRH used to describe the transaction.

According to the closing filing, Arcosa remained the surviving company in the merger, with CRH Americas holding full ownership. The filing identifies CRH Americas as an indirectly held, wholly owned subsidiary of CRH plc.

Arcosa’s shareholders had approved the proposed acquisition during a special meeting held on September 4, 2026, according to Arcosa’s announcement of the vote.
